Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Machine Match (the “Service”), operated by [Company Legal Name] (“Machine Match”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Machine Match is

Machine Match is a marketplace organized around the things people own. You add items you own to your “garage”, post requests for parts you need, and connect with other members who own the matching item. Members buy and sell parts from one another; payments for accepted orders are processed through our payments provider (Stripe) and held in escrow until the order completes.

2. We are a venue, not the seller

Machine Match provides the platform that connects buyers and sellers. We are not the buyer or seller in any transaction and are not a party to the contract of sale between members. We screen listings and conduct for prohibited items and abuse, but we do not own, inspect, or guarantee the items offered. Sellers are solely responsible for the items they offer, their condition, legality, and delivery.

3. Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for your account credentials and all activity under your account.
• Provide accurate information and keep it current. One account per person unless we agree otherwise.

4. Prohibited items & conduct

You may not list, request, or transact in items that are prohibited by law or by our community standards, including:

• Illegal, stolen, counterfeit, or recalled/unsafe goods;
• Weapons, ammunition, explosives, and regulated or controlled substances;
• Adult content, hazardous materials, or anything requiring a license you do not hold;
• Items that infringe others’ intellectual-property or privacy rights.

You also agree not to:

• Take transactions off-platform. Arranging payment or completing a sale outside Machine Match defeats buyer protection and is prohibited; messages that solicit off-platform dealing may be flagged or removed.
• Post deceptive, misleading, or fraudulent listings, requests, or reviews;
• Harass, abuse, or impersonate others, or scrape/abuse the Service.

5. Seller obligations

• List only items you actually own and are entitled to sell; provide ownership proof where required.
• Describe condition accurately and fulfill accepted orders promptly.
• To receive payouts you must complete onboarding (including identity/bank verification) with our payments provider. You are responsible for your own taxes.

6. Payments, fees & escrow

Payments are processed by Stripe. When a buyer pays for an accepted order, funds are held in escrowand released to the seller after the order is completed (or refunded per our Refund & Dispute Policy). Funds held in escrow do not accrue interest.

• Machine Match charges the seller a service fee on completed orders — 8% on the free plan, 5% on Pro, subject to a $1.50 minimum per order. The fee is disclosed before an order completes.
• You authorize us and our payments provider to collect amounts owed, including fees, via the payment method on file.
• We do not hold member funds in our own bank accounts; the regulated movement of money is handled by our payments provider.

During the current pre-launch phase the payment flow runs in test mode and no real charges are made; this section describes how payments operate once live.

7. Disputes & refunds

Order disputes and refunds are governed by our Refund & Dispute Policy, which is part of these Terms.

8. Your content

You retain ownership of the content you submit (listings, photos, messages, reviews). You grant Machine Match a non-exclusive, worldwide license to host, display, and use that content as needed to operate and promote the Service. You are responsible for your content and must have the rights to post it.

9. Suspension & termination

We may suspend or terminate accounts that violate these Terms, create risk, or harm other members. You may stop using the Service at any time; certain obligations (e.g., completing pending orders, fees, and indemnities) survive.

10. Disclaimers & limitation of liability

The Service is provided “as is” without warranties of any kind. We do not guarantee the quality, safety, legality, or delivery of items offered by members. To the maximum extent permitted by law, Machine Match is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.

11. Governing law

These Terms are governed by the laws of [State / Country], without regard to conflict-of-laws rules. Disputes will be resolved in the courts located there, unless applicable law requires otherwise.

12. Changes

We may update these Terms; material changes will be posted here with an updated date and, where appropriate, notice in the app. Continued use after changes means you accept them.
